This agreement is between Odeysoft Technology: 202203217573 (IP0575648-T), Malaysia (the Provider), and the person or organization using PairChord. Read it carefully before continuing.
## 1. License grant
Subject to payment of applicable fees and continued compliance with this agreement, the Provider grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use PairChord for lawful internal purposes during the applicable license term. The software is licensed, not sold. One license may be active on one computer at a time. A device for licensing purposes means the computer running PairChord, not each connected speaker or audio output. Multiple computers require separate licenses. Yearly and Lifetime licenses include the same features, subject to operating-system capabilities and device compatibility.
## 2. License keys and device activation
You must protect your license key and must not publish, sell, share, rent, or distribute it. PairChord contacts the licensing service at startup and periodically while running. Activation requires an internet connection, your purchase email and license key, and explicit acceptance of the current agreement. Activation may record a one-way device fingerprint, device name, operating-system information, application version, server-derived IP address, and activation time for license validation, device management, and abuse prevention.
Self-deactivation releases the license for another computer and deliberately blocks the old device fingerprint until support clears it after reasonable ownership verification. Moving activation does not transfer ownership of the license to another person or organization.
Startup requires online verification. A verified running session uses a time-limited certificate and requires periodic refresh, including for Lifetime licenses. A temporary connection failure does not delete your saved key, but may prevent startup verification or continued licensed processing when the certificate expires. This is not a promise of unlimited offline access.
## 3. License term and renewal
A fixed-term license ends on its stated expiration date. A lifetime license means the supported commercial lifetime of PairChord, not guaranteed perpetual updates, online services, or compatibility with future operating systems. Yearly and Lifetime purchases are one-time payments and do not renew or charge automatically. A renewed fixed term requires another purchase.
## 4. Trials, fees, refunds, and taxes
The Yearly license price is RM9.99 and the Lifetime license price is RM59.99. Prices, durations, and any applicable taxes are shown before purchase. You are responsible for applicable taxes unless stated otherwise. Any trial offered may be limited or withdrawn where permitted by law; this agreement does not promise trial availability or a particular trial duration.
Refund requests may be sent to [email protected]. Mandatory consumer rights remain unaffected. Any additional refund policy must be disclosed before purchase; this agreement does not set a discretionary refund period or incorporate another product's refund policy.
## 5. Acceptable use
You must use PairChord lawfully and responsibly. You must not capture, process, or distribute audio unlawfully; infringe others' rights; bypass consent, privacy, platform, security, or anti-abuse requirements; introduce malware; attempt unauthorized access; interfere with services; or misrepresent your identity or authorization.
You are responsible for your audio content, devices, permissions, consent, configuration, credentials, and compliance with applicable laws and the terms of audio sources and services you use. PairChord does not grant rights to protected content or bypass operating-system or content-protection restrictions.
## 6. Restrictions
Except where applicable law expressly permits it, you must not copy, modify, translate, reverse engineer, decompile, disassemble, discover source code or signing keys, circumvent licensing or technical protections, remove proprietary notices, resell or sublicense the software, or use unauthorized extraction of protected components to create a competing product. Rights granted by applicable third-party component licenses remain unaffected.
## 7. Ownership
The Provider and its licensors retain all rights, title, and interest in PairChord, its documentation, branding, updates, and related intellectual property. No rights are granted except those expressly stated in this agreement.
## 8. Your data and privacy
You remain responsible for data you import, create, or process and represent that you have a lawful basis, notices, permissions, and consents for its use. Audio processing and application settings remain on your computer; PairChord does not upload audio to the licensing service. Licensing sends your purchase email, license key, one-way device fingerprint, device name, operating-system information, application version, and agreement acceptance metadata. The server also observes the request IP address. Raw machine identifiers are not sent to the licensing service.
The saved license key is held in the operating-system credential vault. License display information, certificates, and agreement acceptance are stored locally. Payment and support requests involve the information you provide for those purposes. Privacy questions may be sent to [email protected]. Any separate privacy notice supplied for PairChord must be read alongside this agreement; no privacy policy for another product is incorporated here.
## 9. Third-party services and audio devices
PairChord may interact with audio applications, Bluetooth and other audio devices, device drivers, payment services, operating-system services, and infrastructure selected by you. Those independent services and components have their own terms, availability, fees, limits, and data practices. The Provider is not responsible for third-party changes, restrictions, account actions, or failures outside its reasonable control.
Audio delay and synchronization depend on hardware, drivers, Bluetooth conditions, sources, and operating-system capabilities. PairChord does not guarantee zero latency, perfect synchronization, or compatibility with every device or protected audio source.
Optional browser remote control operates over unencrypted HTTP and is intended only for a trusted private network. Protect the PIN or password, choose appropriate access durations, and do not expose the sharing address to the public internet. The browser controls PairChord running on the computer; audio continues to play on the computer's outputs.
## 10. Updates and changes
The Provider may supply fixes, security updates, new versions, or feature changes and may discontinue obsolete versions after reasonable notice where practical. A material new agreement version may require your explicit acceptance before licensed access continues.
## 11. Availability and support
Uninterrupted or error-free operation is not guaranteed. Internet-dependent licensing and third-party integrations may be unavailable because of maintenance, network failure, provider changes, security events, or circumstances beyond reasonable control. ## 12. Suspension and termination
The Provider may suspend or revoke a license when it reasonably believes the key was shared, payment was reversed, the software was used unlawfully, security controls were bypassed, or this agreement was materially breached. When a license expires or this agreement ends, you must stop using the software. Ownership, restrictions, disclaimers, liability limits, and dispute terms survive termination.
## 13. Disclaimer of warranties
To the maximum extent permitted by law, PairChord is provided as is and as available. The Provider disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. Rights that cannot legally be excluded remain unaffected.
## 14. Limitation of liability
To the maximum extent permitted by law, the Provider is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or lost profits, revenue, business, goodwill, data, or third-party access. Aggregate liability will not exceed the amount paid for the applicable license during the twelve months before the event giving rise to the claim, except where liability cannot legally be limited.
## 15. Indemnity
To the extent permitted by law, you will defend and indemnify the Provider against third-party claims, damages, and reasonable costs arising from your unlawful content, data, credentials, configuration, third-party services, or material breach of this agreement.
## 16. Governing law and disputes
This agreement is governed by the laws of Malaysia, without regard to conflict-of-law principles. Courts of competent jurisdiction in Malaysia have jurisdiction unless mandatory consumer law gives you the right to use another forum.
## 17. General terms
If a provision is unenforceable, it will be limited to the minimum necessary and the remainder remains effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without consent. This agreement and any expressly incorporated policies form the entire agreement concerning PairChord.
